First: This document represents a binding agreement between:
Second: Party One develops voiceover software powered by artificial intelligence and provides multilingual professional voiceover services. Party Two is a skilled and talented voice artist willing to collaborate with the technical project.
Third: Party Two grants Party One explicit authorization to use their AI-cloned voice, by providing a clear and clean voice sample for building a digital voice model. This model may be used in producing various audio content including documentaries, advertisements, drama, audiobooks, and in all supported languages.
Fourth: Party Two acknowledges that this authorization includes full commercial use of the digital voice through Moknah’s platform and its services.
Fifth: Party One has the right to use the cloned voice for promotional, non-commercial purposes across its official platforms (e.g., moknah.io) without any financial obligation to Party Two.
Sixth: Payment terms are as follows:
Seventh: Payments are issued monthly by the 10th, provided the dues exceed $50. Otherwise, the amount is rolled over to the next month.
Eighth: Financial reports are issued only when actual usage of the voice occurs.
Ninth: Party Two agrees that all legal and intellectual property rights to the recordings generated using their voice transfer entirely to the end customer who obtained them via Party One’s services.
Tenth: The contract is valid for two years starting from the first use or registration of the voice, and it auto-renews unless Party Two requests cancellation by email after the period ends.
Eleventh:
Twelfth: No clause may be altered without explicit written approval from both parties.
Thirteenth: In case of any dispute, both parties agree to attempt friendly arbitration first. If unsuccessful, Jordanian courts shall have jurisdiction.
Finally: Enabling the agreement checkbox on the Moknah platform is legally considered an electronic signature and carries the same legal weight as a handwritten signature.
