Terms of Service Agreement for the Maknah Platform

IMPORTANT INTRODUCTION:

This Agreement ("Terms") constitutes a binding legal contract between you ("you," "the User") and Awraq Ebda'eyah for Websites and Internet Portals ("the Company," "we," "us," or "our"), a company registered in the Hashemite Kingdom of Jordan. These Terms govern your access to and use of the Maknah platform ("the Platform") and all of its related services, website, and Application Programming Interfaces (APIs) ("the Services").

1. Eligibility and Conditions of Use

• A. Legal Age: You must be at least 18 years of age (or the age of legal majority in your jurisdiction) to use the Services. By using the Services, you represent and warrant that you meet this requirement.
• B. Use on Behalf of an Entity: If you are using the Services on behalf of a company or other legal entity, you represent that you have the full authority to bind that entity to these Terms, and you agree to these Terms on its behalf.
• C. Purpose of Use:
  • Free Users: If you are using the Services for free, you may use them for both personal and commercial purposes.
  • Subscribed (Paid) Users: If you are subscribed to a paid plan, you may use the Services as you see fit, whether for personal or commercial purposes.
  • In both cases, your use of the Services and the Generated Content must comply with the "Prohibited Use Policy" (Clause 6).

2. Service Description and Role of the Third-Party Technology Provider

• A. Nature of the Service: The Maknah Platform enables you to provide content (such as text or audio samples) ("Input Content") to generate audio outputs ("Generated Content") using artificial intelligence technology.
• B. Reliance on a Third Party: You acknowledge and agree that our core voice generation services rely on technologies provided by third parties ("Technology Provider") via APIs. We do not own the underlying AI voice generation model. We are not responsible for any interruption or degradation in the Service originating from the Technology Provider.

3. Accounts and Security

You are responsible for all activities that occur under your account. You must maintain the confidentiality of your password and notify us immediately of any unauthorized use of your account. Your account information must always be accurate and up-to-date.

4. Intellectual Property and The License You Grant Us

• A. Our Ownership: We own all rights, title, and interest, including all intellectual property rights, in and to the Maknah Platform itself, including its design, trademark, source code, and all content, excluding your content.
• B. Your Ownership: You retain all ownership rights in your "Input Content." Subject to your compliance with these Terms, you own the proprietary rights in the "Generated Content" you create.
• C. The License You Grant Us (Material Clause):

By using the Services, you grant Awraq Ebda'eyah for Websites and Internet Portals a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, sublicensable license to use, copy, modify, adapt, distribute, and display your "Input Content" and "Generated Content" for the following purposes:

1. To provide, operate, and improve the Services for you, including passing necessary data to the Technology Provider.
2. For research and development purposes, training and improving our current and future services and our proprietary artificial intelligence models.
3. For security purposes, fraud prevention, and compliance with legal obligations.

• D. Your Warranties: You represent and warrant that you have all the necessary rights and consents to submit the "Input Content" (especially audio samples of individuals) and to grant us the license described above, and that our use thereof will not infringe upon the rights of any third party.

5. Subscriptions and Payments

• A. Recurring Subscriptions: Your paid subscription will automatically renew at the end of each subscription period for the same duration and at the then-current price, unless you cancel the renewal beforehand. You authorize us to automatically charge the subscription fees to your registered payment method.
• B. Cancellation: You may cancel your subscription at any time through your account settings. You will continue to have access to the paid Services until the end of the subscription period for which you have paid. Payments are non-refundable unless otherwise required by Jordanian law.
• C. Price Changes: We reserve the right to change our subscription prices. You will be notified of any price changes, and the new prices will apply to your next subscription period.
• D. Taxes: All prices are exclusive of sales tax or any other applicable taxes in Jordan, which will be added to the invoice as appropriate.

6. Prohibited Use Policy

It is strictly forbidden to use the Services to create or disseminate any content that:

• Violates any applicable law in Jordan or the user's jurisdiction.
• Incites hatred, violence, or discrimination.
• Constitutes defamation, libel, or slander against any person.
• Infringes upon the intellectual property or privacy rights of others.
• Is used to impersonate any person or entity deceptively or misleadingly.
• Contains pornographic material or violates public decency.
• It is used to spread false news or disinformation.
• Is used for illegal political activities or election interference.

7. Termination

We reserve the right to suspend or terminate your account and access to the Services immediately and without prior notice if you breach any of these Terms. Upon termination, your right to use the Services will cease immediately, and you may forfeit any unused credits.

8. Third-Party Services

Our Services may include links or integrations with third-party services or content that we do not own or control. We are not responsible for the practices or content of any third party.

You agree to indemnify, defend, and hold harmless Awraq Ebda'eyah and its employees from and against any claims, losses, liabilities, damages, and expenses (including attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your content; (c) your violation of these Terms; or (d) your violation of any law or the rights of a third party.

12. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed under the laws of the Hashemite Kingdom of Jordan. The parties agree that the exclusive jurisdiction for any dispute arising from this Agreement shall be the courts of Amman (Palace of Justice).

13. Miscellaneous Provisions

• A. Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and us and supersede any prior agreements.
• B. Amendments: We reserve the right to amend these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform or via email. Your continued use of the Services after such changes constitutes your consent to the amended Terms.
• C. Severability: If any part of these Terms is held to be invalid or unenforceable, that part will be enforced to the maximum extent permissible, and the remaining parts will remain in full force and effect.
